1. Agreement to Terms
By accessing or using Facetize.io ("Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these terms, you may not access the Service.
2. Description of Service
Facetize.io provides an API service that transforms natural language queries into structured product taxonomy filters. The Service is provided "as is" and "as available" without warranty of any kind.
3. API Usage
When you create an account with us, you receive API keys that allow you to access our Service. You are responsible for:
- Maintaining the security and confidentiality of your API keys
- All activity that occurs under your API keys
- Notifying us immediately of any unauthorized use
- Complying with all applicable laws and regulations
4. Acceptable Use
You agree not to use the Service to:
- Violate any laws or regulations
- Infringe on intellectual property rights
- Transmit malicious code or harmful content
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt the Service
- Use the Service for any illegal or unauthorized purpose
5. Billing and Payment
The Service operates on a usage-based billing model:
- Pricing: $0.01 per API request
- Billing is processed through Stripe
- Payment is due according to your billing cycle
- We reserve the right to change pricing with 30 days notice
6. Account Termination
We reserve the right to suspend or terminate your account if:
- You breach these Terms
- You fail to pay outstanding fees
- Your use of the Service poses security or legal risks
- We discontinue the Service
You may cancel your account at any time through your account settings.
7. Intellectual Property
The Service and its original content, features, and functionality are owned by Finqu and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
8. Limitation of Liability
In no event shall Facetize.io, Finqu, or its affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of the Service.
9. Indemnification
You agree to defend, indemnify, and hold harmless Facetize.io and Finqu from any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of the Service or violation of these Terms.
10. Changes to Terms
We reserve the right to modify or replace these Terms at any time. We will provide notice of material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.
11. Consumer Rights (EU Customers)
If you are a consumer in the European Union, you have certain rights under EU consumer protection law:
11.1 Right of Withdrawal
For EU consumers entering into a distance contract, you have the right to withdraw from this agreement within 14 days without giving any reason. The withdrawal period expires 14 days from the day of contract conclusion.
To exercise your right of withdrawal, you must inform us of your decision to withdraw through a clear statement (e.g., email, letter). You may use the model withdrawal form provided by the EU, but it is not obligatory.
Note: If you have used the Service during the withdrawal period, you may be required to pay for the value of services actually provided up to the time of withdrawal.
11.2 VAT and Pricing
All prices are stated in USD. For EU customers, VAT will be added at the applicable rate based on your location, in accordance with EU VAT regulations. Business customers with a valid EU VAT number may be eligible for reverse charge.
12. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Finland (or the specific EU member state where Finqu is established), without regard to its conflict of law provisions.
For EU consumers: Nothing in these Terms affects your rights under mandatory consumer protection laws in your country of residence. Any disputes may be brought before the courts of your country of residence or Finland.
For business customers: Disputes shall be subject to the exclusive jurisdiction of the competent courts of Finland.
13. Alternative Dispute Resolution (ADR)
In accordance with EU Regulation 524/2013, we inform you about the European Commission's Online Dispute Resolution (ODR) platform, which can be accessed at https://ec.europa.eu/consumers/odr
We are committed to resolving disputes with our customers in an amicable manner. If you have any complaints, please contact us first through our website at finqu.com, and we will work to resolve the issue directly.
14. GDPR Compliance
We process your personal data in accordance with the EU General Data Protection Regulation (GDPR) and other applicable data protection laws. For detailed information about how we collect, use, and protect your data, please refer to our Privacy Policy.
Your rights under GDPR include the right to access, rectification, erasure, restriction of processing, data portability, and objection. You also have the right to lodge a complaint with a supervisory authority.
